Terms of Service
1. Who the contract is with
These terms are between you and Northlight Ventures s. r. o., Jesenského 3500/51, 080 01 Prešov, IČO 57 946 230, trading as NLH ("we"). By accepting a quote, paying an onboarding fee, or using the service, you accept these terms. Our Acceptable Use Policy and Privacy Notice form part of them.
The service is designed for businesses. Section 12 covers the position if you're buying as a consumer.
2. What we provide
Managed web hosting and business email, at the level you've chosen (Single, Studio or Group, or an email-only plan), with the websites, mailboxes and storage set out in your quote. Each level includes a named contact and a stated number of support hours per year.
We'll tell you in writing before any material change to what's included. Changes that only add to the service, or that are needed for security, don't need notice.
3. Onboarding
Onboarding is a one-off piece of work quoted separately — typically from €450 — covering discovery, account and DNS setup, migration of your sites and mail, deliverability setup and handover. The onboarding fee is payable before the work starts and is non-refundable once the work has begun, because the work is the thing you've bought.
Onboarding depends on you giving us access and information in good time. If the work can't proceed for reasons on your side, we'll pause it and tell you what's needed.
4. Fees, VAT and payment
- Monthly fees are as quoted, net of VAT. VAT is added where applicable at the Slovak rate, or reverse-charged to VAT-registered business customers in other EU countries who give us a valid VAT number.
- The price you sign up at is the price you renew at. We don't use introductory pricing. If we ever need to change a price, we give at least 60 days' written notice and you can cancel before it takes effect.
- Fees are billed monthly in advance and collected by card or SEPA Direct Debit through Stripe. Invoices are issued in your client area.
- Extra mailboxes, extra storage and time beyond your included hours are billed as set out in your quote or at €75 per hour.
- If a payment fails we'll tell you and retry. If it's still unpaid 14 days after the due date we may suspend the service, and after 30 days we may terminate it. We'll always warn you first.
5. Term and cancellation
The service runs month to month. Either of us can end it with 30 days' written notice. You're not locked in.
When the service ends, we keep your data for 90 days so it can be restored or handed over, then delete it. During those 90 days we'll give you a full export of your sites and mailboxes if you ask — that's part of the service, not an extra.
We may end the service immediately if you seriously breach these terms or the Acceptable Use Policy, if the service is being used unlawfully, or if required by law. We'll tell you why.
6. Support and included hours
Support is available by email and phone, Monday to Friday, 9:00–17:00 Central European Time, excluding Slovak public holidays. Your plan includes a number of support hours per year; we track them and tell you when you're close. Beyond them, work is quoted or billed at €75 per hour.
If your site or mail is down because of something on our side, fixing it doesn't count against your hours.
7. Backups and your copies
We back up hosting accounts daily, keep backups for at least 14 days, store them separately from the server, and test restores on a regular schedule. We'll restore from backup on request as part of the service.
Backups are a safety net, not a guarantee. You remain responsible for keeping your own copy of anything you can't afford to lose. Mailbox backups are provided by our mail supplier on their own schedule.
8. Availability
We aim for 99.9% monthly availability of the hosting service, excluding scheduled maintenance, which we announce at least 48 hours ahead and schedule outside business hours where we can. This is a target we work to and report against, not a credit scheme — if you need contractual service credits, tell us and we'll quote for them separately.
9. Data, location and processing
Websites and databases are hosted on hardware in Vienna, Austria. Mailboxes are hosted in EU data centres by our mail supplier. Details are in our Privacy Notice.
Where you store other people's personal data on the service, you are the controller and we are your processor under Art. 28 GDPR. We: process only on your documented instructions (these terms and your use of the panel); keep your data confidential; apply appropriate security; use only the sub-processors listed in our Privacy Notice, and tell you 30 days before adding one so you can object; help you respond to data subject requests and security incidents; delete or return your data at the end of the contract; and make available what you reasonably need to demonstrate compliance. If you need a standalone signed DPA, ask and we'll provide one.
10. Acceptable use and suspension
Our Acceptable Use Policy applies. If we receive an abuse report about your account we'll forward it to you and expect a response within 48 hours. If something on your account is actively harming others — sending spam, hosting malware, being used in an attack — we may suspend the affected part immediately and tell you straight after. We'll restore it as soon as the problem is fixed.
11. Liability
We're liable for loss we cause by breaking this contract or by negligence. Our total liability to you in any 12-month period is limited to the fees you paid us in that period. We're not liable for indirect or consequential loss, lost profits, or loss of data where you haven't kept your own copy as section 7 requires. Nothing in these terms limits liability that can't be limited by law — including for death, personal injury, fraud, or the statutory rights of consumers.
You're responsible for the content you host and send, for keeping your login details secure, and for the lawfulness of your own sites and mail.
12. If you're a consumer
If you're buying as an individual for purposes outside your trade or profession, Slovak and EU consumer law gives you rights that override anything inconsistent in these terms. In particular, you have a 14-day right to withdraw from the contract. Because hosting and onboarding start straight away, we'll ask you to confirm that you want the service to begin within the 14 days and that you understand you'll pay for the service provided up to the point you withdraw.
13. Law and disputes
These terms are governed by the law of the Slovak Republic. Disputes go to the Slovak courts, unless you're a consumer in another EU country, in which case you may bring a claim in your own country and may also use the EU online dispute resolution platform. We'd rather talk first — write to hello@nlh.sk.
If any part of these terms is found unenforceable, the rest stands. These terms are in English; if we provide a Slovak version, the Slovak version prevails for Slovak consumers.
